Terms and Conditions

Welcome to RythmWorks. These Terms and Conditions ("Terms") govern your use of the RythmWorks application and website at https://rythmworks.app (the "Service"), operated by RythmWorks, Inc. ("RythmWorks," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

RythmWorks helps you organize tasks, notes, projects, to-do items, and reminders. Features and functionality may change over time as we improve the Service.

2. Eligibility and Accounts

You must be at least 13 years old to use the Service and at least 18 years old (or the age of majority in your jurisdiction) to opt in to text messaging. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep it up to date.

3. SMS/Text Messaging Program Terms

Program description. RythmWorks offers an optional text messaging program that sends recurring task reminders, notifications, and account-related messages to users who opt in.

Opt-in. You opt in by entering your mobile phone number during signup or in your account settings and checking a box consenting to receive recurring text messages from RythmWorks, Inc. Consent to receive text messages is not a condition of purchase or of using the Service.

Message frequency. Message frequency varies based on your reminder settings.

Cost. Message and data rates may apply. Charges are billed by your mobile carrier under your mobile plan.

Opt-out. You can cancel the SMS program at any time by replying STOP to any message. After you send STOP, we will send one final message confirming that you have been unsubscribed, and you will receive no further messages. To rejoin, sign up again through the Service.

Help. If you are experiencing issues with the messaging program, reply HELP to any message or contact us directly at support@rythmworks.app.

Carrier disclaimer. Carriers are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission by your mobile carrier and is not guaranteed.

Supported carriers. The program is available on major U.S. carriers, including AT&T, T-Mobile, Verizon, and others. Availability on specific carriers may change without notice.

Number changes. If you change or deactivate your mobile phone number, you agree to update your account information promptly so that messages are not sent to a number that no longer belongs to you.

Privacy. Your mobile phone number and messaging consent information will not be shared with third parties or affiliates for marketing or promotional purposes. For details on how we collect and use your information, see our Privacy Policy at https://rythmworks.app/privacy.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of these Terms;
  • Attempt to gain unauthorized access to the Service or its systems;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Upload content that is unlawful, infringing, or harmful; or
  • Resell, copy, or reverse engineer the Service except as permitted by law.

5. Your Content

You retain ownership of the tasks, notes, and other content you create in the Service. You grant RythmWorks a limited license to host, store, and process your content solely to provide and improve the Service.

6. Intellectual Property

The Service, including its software, design, and branding, is owned by RythmWorks, Inc. and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or other brand elements.

7. Termination

You may stop using the Service or delete your account at any time by contacting us at support@rythmworks.app. We may suspend or terminate your access to the Service if you violate these Terms or if we discontinue the Service, with reasonable notice where practicable.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service, including message delivery, will be uninterrupted, timely, or error-free. Reminders and notifications are a convenience feature; do not rely on them as your sole means of tracking critical obligations.

9. Limitation of Liability

To the maximum extent permitted by law, RythmWorks, Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising out of or related to your use of the Service. Our total liability for any claim arising out of these Terms or the Service will not exceed the greater of the amount you paid us in the twelve months before the claim arose or one hundred dollars ($100).

10. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the Effective Date above and notify you through the Service or by other reasonable means. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to its conflict of laws principles. Any disputes arising under these Terms will be resolved in the state or federal courts located in Lucas County, Ohio.
